Treating two of the three principal components of U.S. federal securities regulation the registration and continuous disclosure of securities and antifraud provisions Romano (law, Yale Law School) argues that corporations should be allowed to shop around among whichever regulations regime they might prefer under a proposed reform whereby the federal government would cease to be the sole regulator, ceding power to the states or even other nations.
